Terms & Conditions

This Agreement is entered into by and between Jelantic, with its registered office in Jakarta, Indonesia, hereinafter referred to as the “Seller,” and the purchaser, hereinafter referred to as the “Buyer.”
This Agreement outlines the terms and conditions under which the Seller agrees to sell, and the Buyer agrees to purchase, the goods specified in the order confirmed by both parties through email or official order form.
By confirming the order, the buyer accepts the general terms and conditions stated in this document

1. Colour Variations of Fabrics

The Buyer acknowledges that minor colour variations may occur between different fabric structures used in one garment (e.g. rib and body fabric).
The Seller is not responsible for slight color differences caused by variations in fiber texture, dye batch, or production process. Such differences shall not be considered defects.

2. Quality Tolerance

Fabric measurement may vary by up to ±1 cm, and the buyer agrees to accept such variation.

Loose threads up to 2 cm may occur during production and shall not be considered defects.

Shrinkage of up to 6% for fabric washed at 40°C (flat drying) is within tolerance, in accordance with standard ISO 5077: Determination of Dimensional Changes After Washing and Drying.

The buyer may request detailed information regarding shrinkage rates before confirming bulk production.

Due to Jelantic’s use of biodegradable materials derived from cooking oil waste, slight texture or scent variations may naturally occur and are not to be considered defects.

The requested GSM (grams per square meter) of the fabric may vary by ±8%, and the buyer agrees to accept such variation.

3. Quantity Tolerance

The quantity delivered may vary by ±5%, and the Buyer agrees to accept and pay for the actual quantity stated in the final invoice.
In the event fewer meters of fabric are delivered, the respective quantity and costs will be deducted accordingly.

4. Project Details Agreement

All specifications, such as fabric type, color, and finishing, must be confirmed before production begins.
Subsequent changes may not be accepted unless mutually agreed upon in writing.
Average production lead time is 2–3 months from the date of advance payment and full handover of all production details to the Seller.
Final production and shipping dates will be confirmed only after all required information is received.

5. Sampling and Finishing

The buyer acknowledges that slight color or texture differences may occur between samples and final bulk production due to variations in dye lots or fiber composition.

The seller is not responsible for such differences, and they shall not be deemed defects.

The buyer must approve all samples and finishing specifications prior to bulk production.

Changes requested after sampling may affect the production timeline and may incur additional costs.

6. Development Services and Liability

The buyer may request custom development (fiber, fabric composition, or finishing). Such development is considered a custom order, and the buyer assumes responsibility for the final outcome.

If the buyer provides a design, pattern, or technical specification, it remains the property of the buyer and will not be shared or reproduced for third parties.

Likewise, technical specifications or fabric designs developed by the Seller for the Buyer and paid for shall remain the Buyer’s property.

The buyer must inspect goods within five (5) business days of delivery and report any defects or claims within this period. Claims made after this period will not be accepted.

7. Extra Costs

All price quotations provided by the seller before final confirmation are indicative. Additional costs may occur (e.g., change of materials, new finishing requirements, or logistic changes).

Any extra costs must be confirmed by the buyer in writing before being applied.

All prices are based on EXW (Ex Works) terms, in accordance with Incoterms 2020.

The Buyer acknowledges that the Seller reserves production capacity specifically for the Buyer’s order. In the event of delays caused by the buyer, a compensation fee of USD 100 per hour of unused production time may apply.

8. Payment Terms

Payment timelines agreed upon in the contract are valid only under the confirmed production schedule.

If delays are caused by the buyer, payment terms may be adjusted to reflect changes in production and cash flow.

Late payments may incur interest or result in production delays.

9. Force Majeure

Neither party shall be held liable for any delay or failure to perform obligations under this Agreement due to circumstances beyond reasonable control, including but not limited to natural disasters, war, strikes, supply disruptions, or governmental restrictions.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

11. Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through good-faith negotiation.
If a resolution cannot be reached, the dispute shall be submitted to arbitration in Jakarta, in accordance with the Indonesian National Arbitration Board (BANI) rules.

12. Entire Agreement

This document constitutes the entire understanding between the parties and supersedes all previous discussions, agreements, or communications, whether oral or written, regarding the subject matter.
